Terms of Service

These Terms of Service (“Terms”) govern access to and use of the prosemed application, website, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

prosemed provides voice-driven clinical documentation tools for licensed clinicians, including transcription, AI-assisted note structuring, and billing-code suggestions. The Service is designed to assist clinicians in producing clinical documentation; it does not replace a clinician's professional judgment.

Eligibility and accounts

The Service is intended for use by licensed clinicians, the medical practices that employ them, and authorized billing or administrative staff. By creating an account you represent that you are over the age of eighteen, that the information you provide is accurate, and that you are authorized to act for the practice you associate with your account.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Multi-factor authentication is required and may not be disabled.

Permitted use

You may use the Service only for legitimate clinical documentation purposes within the practice associated with your account. You agree not to:

  • Upload audio or text that is not part of a clinical encounter you are authorized to document.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent required by applicable law.
  • Use the Service to develop a competing product.
  • Bypass or attempt to bypass authentication, authorization, rate limiting, or auditing mechanisms.
  • Use the Service to process personal information about individuals located in jurisdictions where additional data-protection consents are required and have not been obtained.

Clinical responsibility

The Service is a documentation aid. You, the clinician, are the sole author of the medical record. You are responsible for reviewing every transcript, structured note, and billing code produced with the assistance of the Service before finalizing or submitting it. AI-assisted output may contain errors; the Service flags low-confidence sections, but it is your responsibility to verify accuracy. prosemed is not a medical device, does not provide medical advice, and does not substitute for clinical judgment.

Privacy and HIPAA

Use of the Service is governed by the Privacy Policy and, where applicable, a Business Associate Agreement executed between prosemed and the subscribing practice. To the extent the Service processes Protected Health Information, the BAA controls in the event of any conflict with these Terms.

Fees and billing

Pricing for paid plans is described on order forms or in the applicable subscription agreement between prosemed and the practice. Trial or beta access may be offered at no cost and may be modified or terminated at any time.

Service availability

prosemed targets high availability but does not guarantee uninterrupted operation. Maintenance windows, network conditions, third-party outages, or force-majeure events may affect access. prosemed may modify the Service from time to time to add features, address security issues, or comply with legal requirements.

Termination

Either party may terminate access to the Service in accordance with the applicable subscription agreement. prosemed may suspend or terminate access immediately if it reasonably believes the Service is being used in violation of these Terms, in violation of applicable law, or in a way that threatens the security or integrity of the Service. Upon termination, the practice may export its records as described in the subscription agreement; data is retained or deleted according to the time frames in the Privacy Policy and the BAA.

Disclaimers

Except as expressly stated in a written subscription agreement between prosemed and the practice, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. prosemed does not warrant that the Service will be error-free, that defects will be corrected, or that any AI-generated output will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, prosemed's aggregate liability arising out of or related to these Terms or the Service is limited to the fees paid by the practice for the Service in the twelve months preceding the event giving rise to the claim. prosemed is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless prosemed and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of your use of the Service in violation of these Terms, applicable law, or the rights of any third party.

Changes to these Terms

We may update these Terms as the Service evolves. When we make material changes we will update the effective date above and, where appropriate, notify account holders by email. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
